AORS is in the process of revising its constitution to ensure compliance with the Ontario Not For Profit Corporations Act (ONCA), which AORS is subject to.

At their June 20 meeting, the AORS Board of Directors reviewed the draft and approved it for recommendation to the general membership for adoption by special email ballot.  If adopted, it will come into effect December 1, 2025.

For comparison purposes, the current AORS constitution can be found here.  It was last revised in 2016.

The revised constitution was put out to vote in September 2025 to the members, and two concerns were raised and ultimately voted for approval by the Constitution Subcommittee. The NEW revisions include:

1) 9.01.a. and b. – Removing “engaged in a supervisory capacity” from the description of both Local Association members and individual members.

2) 10.06 – Reinstating the voting rights of Past Presidents by adding “Honourary Life Members shall also be entitled to attend meetings of the Members but shall not have voting rights at such meetings, with the exception of those Honourary Life Members who are also Past Presidents of the Association, who shall have voting rights.” to the description.

The NEW REVISED CONSTITUTION must now be approved by the membership.

The draft constitution makes reference to the “Special Act” or the Association of Ontario Road Superintendents Act, 1996 (Ontario), which also governs AORS.  For reference, a copy of it can be found here.

Have questions about why the AORS constitution is being revised, the changes being made, and their impacts?  Check out these FAQs:  Have other questions?  Submit your questions here.

All MUNICIPAL members in good standing are eligible to vote on the revised constitution.  If someone submits a ballot who is not deemed to be a municipal member in good standing, AORS staff will contact that person and/or their Local Association Secretary to confirm their status and find a resolution.

Thank you for participating in this important ballot.

PLEASE VOTE HERE BY FRIDAY NOVEMBER 21, 2025

AORS Interim Executive Director, on behalf of the AORS Board of Directors
